In the telecoms sector, the Firm acted for France Telecom during its acquisition of 40% of Jordan Telecom’s capital, then the largest transaction in the country’s history, as well as AT&T in thorough due-diligence for its potential acquisition of another local company. In the banking sector, the firm has acted for the seller group Saudi Oger, in selling 20% of the Arab Bank Plc Jordan, its entire shareholding in the bank. The transaction, worth $1.2 Billion US Dollars, is stated to be one of the biggest deals in the history of the region.

We have furthermore provided continuous support for Banks and payment companies & service providers such as the acquisition of VISA Jordan, as well as other clients such as Network International, JP Morgan Chase, Bank of America and Nomura to name but a few.

Our firm has also completed transactions in the Infrastructure & Energy, Insurance & Real Estate industries. Representing IDC Consortium in negotiations with the Government of Jordan all the way to the signing of the Implementation Agreement in the I&E Sector. In insurance, the firm completed the Merger of First Insurance & Al Yarmouk Insurance in Jordan, now known as Solidarity.

In the Financial Services sector, the firm has recently represented Network International in a series of highly complex processes to re-register the company as a PSC and have it licensed from the Central Bank of Jordan, this entailed significant due-diligence, followed by corporate structuring, regulatory compliance with the Central Bank Regulations, the reviewing of all internal policies in line with the prevailing regulations, all the way to the eventual licensing of the company successfully.

The Drafting of Jordan’s Competition Law and the Drafting of Jordan’s Media & Free Media Zone Laws. Furthermore, the firm was engaged to draft Amendments to the Telecoms Law.
